Affiliate Agreement

This Affiliate Agreement ("Agreement") governs participation in the ComplianceDesk Affiliate Program (the "Program"), operated by Elestack Digital Solutions ("Elestack", "we", "us"). By applying to the Program or accepting a referral code, you ("Affiliate", "you") agree to these terms. This Agreement is separate from, and does not replace, the ComplianceDesk Terms of Service or Privacy Policy — an affiliate account is independent of any ComplianceDesk customer account you or your organisation may separately hold.

1. How the Program works

Once your application is approved, you receive a unique referral link. Anyone who signs up for a ComplianceDesk account through that link within 30 days of first clicking it is attributed to you as a referral. Attribution is based on browser storage on the referred visitor's device — if they clear their browser data, use a different device or browser, or take longer than 30 days to sign up, the referral may not be attributed to you. We do not guarantee attribution will succeed in every case.

2. Commission

You earn a one-time commission equal to 30% of the first successful payment made by an organisation whose owner was attributed to you as a referral. This is a one-time payment on the first payment only — it is not a recurring share of any subsequent renewal, upgrade, or additional payment made by that organisation. No commission is earned or payable on a referral that never converts to a paying customer.

3. Approval and eligibility

Submitting an application does not guarantee acceptance into the Program. We review applications manually and may approve, reject, or later suspend or revoke Program participation at our reasonable discretion, including where we believe these terms have been breached or a referral was obtained through prohibited conduct described in Section 5.

4. Payment terms

Commissions are paid out monthly, at the end of each calendar month, for everything earned up to that point. You are responsible for providing accurate payment details when requested and for promptly notifying us of any change. We reserve the right to withhold payment of a commission where we have a genuine, good-faith concern that the underlying referral or payment was obtained through fraud, abuse, or a breach of this Agreement, pending investigation.

5. Affiliate responsibilities and prohibited conduct

You agree that, in promoting ComplianceDesk, you will not:

• Send unsolicited bulk email ("spam") or otherwise promote your referral link in a way that violates applicable law;
• Make false, misleading, or unsubstantiated claims about ComplianceDesk, its features, or its pricing;
• Bid on "ComplianceDesk" or confusingly similar terms (including misspellings) in paid search advertising, or register domain names confusingly similar to compliance-desk.com;
• Present yourself as an employee, official representative, or agent of Elestack or ComplianceDesk beyond your status as an independent affiliate;
• Refer your own ComplianceDesk account, or any organisation you own or control, in order to earn a commission on your own subscription.

Where applicable law or platform rules require disclosure of a paid or commission-based relationship (for example, when posting on social media or writing a review), you are responsible for making that disclosure clearly and in accordance with those requirements.

6. Use of the ComplianceDesk name and marks

We grant you a limited, non-exclusive, revocable licence to use the ComplianceDesk name and provided marketing materials solely to promote the Program in accordance with this Agreement. This licence ends automatically if your Program participation ends. You may not modify our logo, imply an endorsement or partnership beyond that of an affiliate, or use our marks in a way likely to confuse or mislead.

7. Tax responsibility

You are solely responsible for determining and meeting any tax obligations arising from commissions you earn under this Program, in whatever jurisdiction those obligations arise. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between you and Elestack — you participate in the Program as an independent party.

8. Term and termination

Either party may end Program participation at any time, for any reason, by written notice (an email is sufficient). If your participation ends, commissions already earned on referrals that converted to a paying customer before the effective date of termination remain payable under Section 4. No commission is earned on a referral that converts to a paying customer after your participation has ended, even if the original referral link click occurred earlier.

9. Confidentiality

Any non-public information you receive about ComplianceDesk's business, pricing, or the Program in connection with your participation should be treated as confidential and not disclosed to third parties, except as needed to promote your own referral link in the ordinary course.

10. Disclaimers and limitation of liability

The Program is provided "as is". To the maximum extent permitted by law, Elestack will not be liable for indirect, incidental, or consequential damages arising from your participation in the Program, and our total liability to you under this Agreement is limited to the amount of unpaid commissions genuinely owed to you at the time a claim arises.

11. Changes to this Agreement

We may update this Agreement from time to time. Material changes will be communicated to active affiliates by email where reasonably practicable. Continued participation in the Program after a change takes effect constitutes acceptance of the updated Agreement.
